By-Laws Revised - May 9, 2000
To Comply With:
The Jurisprudence and Laws Committee
"Shrine Imperial Council - Tampa"


PREAMBLE

This Association shall be governed as follows:
The By-Laws of the Imperial Council,
A.A.O.N.M.S for North America,
plus the following Imperial By-Laws:
The Articles of Incorporation
Iowa Corporation - Fraternal
Colorado Corporation - Charitable
and by the following SWA By-Laws.
In the event any of the provisions of these By-Laws
is now or may be inconsistent with Shrine Law, or,
any omissions in these By-Laws are covered by Shrine Law,
the Shrine Law shall control, and these By-Laws are hereby
amended ipso facto to conform with.

ARTICLE I
Name

"Shrine Webmasters Association"
Herein referred to as SWA

ARTICLE II
Object

To promote improvement of Shrine related websites of
Temples, Associations, Units and Individuals,
in accordance with the Imperial Council guidelines,
and in concert with its website.

ARTICLE III
Meetings

Section 1 - Annual Meeting

The Annual Meeting will be held via the Internet so
that all voting members may participate in SWA issues.
Date To Be Announced

Section 2 - Regular Meetings

A General Meeting of the voting Members of the
"Shrine Webmasters Association"
shall be held quarterly via the Internet.
Members shall be notified at least 15 days by e-mail prior to any meeting.
Meeting dates and times to be established by the elected Officers.

Section 3 - Chat & Forum Rooms

Chat & Forum rooms may be established and will be
available to all.

Section 4 - Quorums

Fifty Percent (50%) of active members shall constitute a quorum
for purposes of voting on association matters.
Members may cast their vote by e-mail to the Secretary.

ARTICLE IV
SWA Membership

Section 1 - Membership Requirements

A member of SWA, shall be a member in good standing of the
A.A.O.N.M.S. for North America

Section 2 - Membership Voting Status

Active Members - Voting Status
Shall consist of the following:
Webmaster(s) or Assistant Webmaster(s) of a Shrine Temple

ARTICLE V
Association Elected Officers

Section 1 - Elected Officers
The Executive Board

The SWA Officers shall consist of the following:

President
1st Vice President
2nd Vice President
Secretary
Treasurer

Section 2 - Election of Officers

The election of Officers will be held in June each year.
All proposed candidates must be submitted to the Secretary
by e-mail on or before May 31 for the following months election.
The SWA Officers shall be elected by an e-mail ballot,
or by an online electronic ballot.
If more than one is running for an office,
a majority vote of those voting shall be required to elect.
A blanket ballot is prohibited, each are to be voted on individually.

Section 3 - Term of Office

Term of Office for elected SWA Officers shall be one (1) year.
Elected SWA Officers shall not hold the same office more than
a term of three (3) consecutive years.
The duties of their office starts the day the Imperial Potentate is sworn in,
and will remain in office until their successor shall be
duly elected and installed.

Section 4 - Elected Officer Eligibility

Any Active SWA member in good standing, shall be eligible for election
to a position, provided that he shall have been an Active SWA member
for not less than a period of six (6) months.

Section 5 - Vacancies of an Officer

(a.) Elected Officers
In the event of vacancy of the President or First Vice President
the other officers shall advance up to the next higher position.
In the event of vacancy of the Second Vice President, Secretary or
Treasurer, should their term be less than sixty (60) days remaining
the President may appoint another member to complete any duties
remaining, if more than sixty (60) days remain on his term,
a special election shall be called by the President.

(b.) Appointed Officers
In the event of an appointed Officer position becomes available,
the President may appoint another member to complete any
of those Officers duties.


ARTICLE VI
Dues Assessments

Section 1 - Dues

In the event the SWA is accepted as an
Official Shrine Association
Dues shall be $25.00 per year

In the event the SWA requires more revisions
there shall be no dues assessments on Members
until such time we may be accepted

ARTICLE VII
Duties of SWA Elected Officers

Section 1 - President:

The President is the Chief Executive Officer,
his duties are, but not limited to the following:

Preside at all Internet meetings of the SWA when available,
and to make sure a quorum of fifty percent (50%) of members
in good standing are available when voting on issues.
He will use Imperial Law, & the New Robert's Rules of Order
in presiding over the meetings

Arrange for all regular meetings and special meetings.

Appoint all Committees as required.

Act as Chairman of the SWA Executive Board.

Designate assignments for members of the Executive Committee,
and may appoint such other Committees, as he shall deem appropriate.


Section 2 - First Vice President:

The First Vice President shall be ready to assume the duties of
the President in his absence, or by his direction.


Section 3 - Second Vice President:

The Second Vice President shall be ready to assume the
duties of the First Vice President if he is unavailable.
He shall assume the Duties of the President in the
event both the President and the First Vice President
are unavailable, or by the Executive Boards direction.


Section 4 - Secretary:

The SWA Secretary shall:
Keep minutes of all stated,
special and Executive Board meetings.
Keep accurate & current records of the SWA,
including membership list of all members to include
all information provided on the application form
give due notice by e-mail to all special meetings.
Keep an accurate membership list of all current members,
their addresses, both e-mail and postal and phone numbers.
Shall complete all annual reports as required by the Imperial Shrine.


Section 5 - Treasurer:

The SWA Treasurer shall:
In the event any monies are generated by this Association,
keep due records and make it available to all Members.
Assist the Secretary in completing all reports as required by the
Imperial Council - Tampa.


ARTICLE VIII
Association Appointed Officers & Duties

Constitution & By-Laws Officer

The Constitution & By-Laws Officer shall act as Chairman of the
Constitution and By-Laws Committee - Appointed by the Executive Board

Membership Officer

The Membership Officer shall act as Chairman of the
Membership Committee - Appointed by the Executive Board

Imperial Liaison Officer

The Imperial Liaison Officer shall act as liaison between
Imperial and the SWA Executive Board, or any SWA Members
Appointed by the Executive Board

Website Ehtics Officer

The Website Ethics Officer shall act as as Chairman of the
Ethics Committee - Appointed by the Executive Board

SWA Research & Archives Officer

The SWA Research & Archives Officer shall act as Chairman of the
Research & Archives Committee - Appointed by the Executive Board

ARTICLE IX
SWA Committees

Section 1 - Listing of Committees

The Committees of SWA are, but not limited to the following Committees,
comprising of no less than two (2) members from the membership
at large including an appointed Chairman.

Constitution & By-Laws Committee
Membership Committee
Website Ethics Committee
SWA Research & Archives Committee
Imperial Liaison Committee
Affiliated Masonic Liaison Committee

Section 2 - Terms & Vacancies

The appointed Committee members shall serve
a regular term of two years.
Terms are to be staggered, i.e. as on member goes off
the Committee, a new member comes on.
In the case of a vacancy, the President may appoint
another member at large, to fill the remainder of the term.


Section 3 - Duties

Constitution & By-Laws Committee

The Constitution & By-Laws Committee shall:
Prepare SWA By-Laws in accordance with Shrine Law
and to see that they are in accordance with any
changes to Imperial Law.
Prepare any amendments to these By-Laws required by
Imperial Law, and/or proposed by the Executive Board or
SWA General Membership for voting.
Prepare By-Law changes for signature and approval of
the Imperial Potentate.

Membership Committee

The Membership Committee shall review all applications
for membership, re-instatement, recruiting etc.
See Article IV - SWA Membership

Website Ehtics Committee

The Website Ethics Committee shall:
Make recommendations to the Executive Board
on all matters of violations of website ethics

SWA Research & Archives Committee

The SWA Research & Archives Officer shall:
Act as historians for the SWA, and do such research as
requested by the Executive Board

Affiliated Masonic Liaison Committee
The Affiliated Masonic Liaison Committee shall:
Act a liaison between the SWA Executive Board and
Affiliated Masonic Bodies concerning SWA matters.
They shall submit recommendations of Committee to the
Executive Board concerning SWA matters.

ARTICLE X
Offenses - Disciplines - Reinstatements

Any SWA members website which is found un-becoming a
representative of the SWA - Shrinedom shall not be recognized as such
and the Potentate of the Members Temple will be so notified.
A suspended member may request reinstatement after a review
by the SWA's Executive Board.


ARTICLE XI
By-Laws Change or Amendments

Section 1 - Adoption

Any proposed By-Law change requires an approval by at
least two-thirds (2/3) of the Active voting memebership.

Section 2 - Procedure

Presentation
Proposed By-Laws or amendments must be presented in
writing as a resolution attachment to e-mail before a stated meeting.

Laid Over
The resolution must be laid over to the next stated meeting or to
a special meeting called for action thereon.
The notice of the meeting must be sent to every member of the
SWA, and must recite the text or substance of the proposal.

Imperial Potentates Approval
The proposed By-Laws or amendments must then be sent to the
Imperial Potentate for his approval, and are in effect
the date of his signature.

ARTICLE XII
Repealing Clause

It is hereby declared that the foregoing By-Laws shall replace
and supersede all By-Laws of this Association now and heretofore
in effect and all By-Laws or parts of By-Laws in conflict herewith are
hereby repealed.
